What are the requirements to become a wholesale client?

You are a wholesale investor if you meet one of the below criteria:

Individuals:

  1. You have Significant Assets or Income:
  • Your gross income has been A$250,000 or more for the last two financial years, or
  • You have net assets of A$2.5million or more.


2. You are a sophisticated investor and meet the strong previous experience test - that is, you have strong previous experience using financial services and investing in financial products that allows you to assess relevant risks, merits, value, information needs, and information adequacy.

To qualify as a Sophisticated Investor, you must pass a short Knowledge Test consisting of 10 multiple-choice questions and meet one of the following eligibility pathways:

a. Work Experience: Relevant Work Experience in financial services sector involving derivatives trading, product management, or similar for at least 1 year.

Or

b. Relevant Trading Experience: Leveraged derivatives trading experience in any 2 quarters within the last 3 years, averaging at least 20 qualifying trades per quarter; and

Portfolio value: A Portfolio value of USDT100,000 or more.


Institutions:

3. You are a Professional Investor:

  • You are a financial services licensee.
  • You are regulated by APRA (other than as trustee of a superannuation fund).
  • You are a body registered under the Financial Sector (Collection of Data) Act 2001 (Cth).
  • You have or control assets of at least A$10 million, being an amount that includes any amount held:
    • by an associate (as defined in the Corporations Act), or
    • under a trust you manage.
  • You are a trustee of a superannuation fund within the meaning of the Superannuation Industry (Supervision) Act 1993 (Cth) and the fund has net assets of at least A$10 million.
  • You are a listed entity, or a related body corporate of a listed entity.
  • You are an exempt public authority.
  • You are a body corporate or unincorporated body that carries on a business of investment in financial products, interests in land or other investments and for those purposes, invest funds (directly or indirectly) following an offer or invitation to the public with the meaning of Section 82 of the Corporations Act, the terms of which provide for the funds subscribed to be invested for those purposes.


4. Business test:

  • You are a business that has 20 or more employees.
  • You are a manufacturing business with 100 or more employees.

What protections do I lose as a wholesale user?

  • OKX will not give you a Product Disclosure Statement, or any other document that would be required under Chapter 7 of the Corporations Act if the product of service were provided to you as a retail client.
  • OKX will not have any other obligations to you under Chapter 7 of the Corporations Act that we would have if the product or service were provided to you as a retail client.

    All qualified wholesale clients must agree to our consents and acknowledgements.
